Terms of Service

1. The Service

SheetSift ("the Service") is a software-as-a-service platform operated by Fortesen ("we", "us") that analyzes spreadsheet workbooks you upload and produces risk findings, scores, visualizations, and reports. By creating an account or using the Service you agree to these Terms. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

You must provide accurate registration information and keep your credentials secure. You are responsible for all activity under your account and API keys. Notify us promptly at our support address if you suspect unauthorized access.

3. Plans, Scans, and Billing

Free accounts include one lifetime scan. Paid subscriptions (billed monthly or annually through Stripe) include a scan allowance as described on the pricing page. A "scan" is consumed when a workbook analysis completes successfully; failed scans do not consume allowance. Unused scans do not roll over between billing periods. Subscriptions renew automatically until cancelled; you can cancel at any time from the billing portal and retain access until the end of the paid period. See our Refund Policy for refund terms. We may change pricing with at least 30 days' notice effective at your next renewal.

4. Your Content

You retain all rights to workbooks and data you upload ("Customer Content"). You grant us a limited license to process Customer Content solely to provide the Service (including automated analysis and, where enabled, AI-generated summaries). You are responsible for ensuring you have the right to upload Customer Content, including any personal data it contains. Do not upload content you are not authorized to process.

5. Acceptable Use

You agree not to:

  • upload malicious files or attempt to compromise the Service or other users;
  • probe, scan, or test the vulnerability of the Service without written authorization;
  • resell, sublicense, or provide the Service to third parties except via features we provide (such as organization workspaces);
  • use the Service to violate applicable law or third-party rights;
  • circumvent plan limits, rate limits, or access controls.

6. Advisory Output — No Professional Advice

Scan outputs, risk scores, AI-generated summaries, and reports are advisory only. They are produced by automated analysis and large language models that may contain errors, hallucinations, or omissions. Outputs do not replace independent review, internal controls, audit procedures, or professional judgment. Do not rely on scan results as the sole basis for financial, legal, accounting, or regulatory decisions. The accuracy of AI-generated content is not guaranteed.

7. Intellectual Property

We own the Service, including its software, models, designs, and branding. These Terms grant you no rights to our intellectual property except the limited right to use the Service while your account is in good standing.

8. Availability and Support

We aim for high availability but the Service is provided without guaranteed uptime unless a separate written agreement says otherwise. We may modify or discontinue features with reasonable notice where practicable.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate accounts that violate these Terms, with notice where practicable. Upon termination we will delete Customer Content in accordance with our Privacy Policy.

12. Changes to These Terms

We may update these Terms. For material changes we will give notice (for example by email or an in-product notice) at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
